These terms govern the relationship between Redplum Technologies and its clients. They cover how we work together, how we handle payment, and who owns what when a project is complete.
Redplum Technologies provides custom software development, technical consulting, and related digital services as agreed in individual project agreements or statements of work. These terms govern the general relationship between Redplum and its clients. Specific deliverables, timelines, and fees are defined in separate project documents, which take precedence over these general terms where they conflict.
Clients are responsible for providing accurate project requirements, timely feedback during development, and any content or assets needed to complete the work. Redplum cannot be held responsible for delays or defects that result from incomplete, inaccurate, or late input from the client. Clients must ensure they hold the necessary rights to any content, data, or third-party materials they supply to Redplum.
Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at a rate of 2% per month on the outstanding balance. Redplum reserves the right to pause work on any project where payment is more than 30 days overdue. Deposits and milestone payments are non-refundable once the corresponding work has been completed and delivered.
On full receipt of payment, Redplum assigns to the client all rights in the custom work product created specifically for that project. Redplum retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the delivery of work. Open-source components remain subject to their original licences. Redplum may reference the project publicly as part of its portfolio unless the client requests confidentiality in writing before project start.
Redplum's total liability for any claim arising from a project is limited to the fees paid by the client for the specific work that gave rise to the claim. Redplum is not liable for indirect, incidental, or consequential damages including loss of revenue, loss of data, or business interruption. These limitations apply to the fullest extent permitted by applicable law.
These terms are governed by the laws of India. Any disputes arising from or related to these terms or any project engagement will be subject to the exclusive jurisdiction of the courts of India. If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
